1. Approval and Contract: The client’s approval for work to commence is considered a contractual agreement between the client and cogentcommerce.

2. Payment Terms: Cogentcommerce agrees to pay the IT company according to the agreed-upon payment terms, which may include upfront fees, milestone payments, or recurring fees. In case of non-payment, the Cogentcommerce may suspend or terminate services until the outstanding payments are settled.

3. Payment and Website Launch: The balance payment is due immediately upon completion of the website. Cogentcommerce reserves the right to withhold launching the website until full payment is received.

4. Website Handover and Support: The website will be handed over as a fully functioning, completed work. Unless an ongoing support package is agreed upon, there is no guarantee of future support from Cogentcommerce.

5. Malicious Software and Hacking: While cogentcommerce will make efforts to protect the website from malicious software, spyware, viruses, and hacking during its creation, they cannot be held responsible for problems caused by illegal activity or the actions of others after the website is handed over.

6. cPanel Responsibility: If the client requests, the cPanel (with login details) will be handed over. However, once the cPanel is transferred to the client, cogentcommerce is not responsible for any changes made to the website by the client or the client’s agents.

7. Compliance with Laws and Regulations: It is the client’s responsibility to ensure that the website and its content comply with current online trading laws and regulations. Cogentcommerce cannot accept responsibility for any failure to comply with these laws and regulations unless specifically requested to research and advised by the client’s company lawyer.

8. Ownership and Permissions: The client represents that all elements provided to cogentcommerce for inclusion in web pages, such as text, graphics, photos, designs, trademarks, or artwork, are owned by the client or used with permission from the rightful owner. The client agrees to hold cogentcommerce harmless and defend against any claims or suits arising from the use of such elements.

9. Policy Amendments: Cogentcommerce reserves the right to amend any or all of the mentioned policies, guidelines, and disclaimers without prior notification.

10. Scope of Work: The scope of work for each project or engagement will be defined in a separate agreement or statement of work. Cogentcommerce will make reasonable efforts to fulfil the agreed-upon scope of work in a timely and professional manner.

11. Confidentiality: Cogentcommerce agrees to treat all customer information as confidential and will not disclose it to any third party without the customer’s prior written consent, unless required by law.
